A Master Software Licence is a significant commercial and operational commitment. We are therefore seeking established, reputable and adequately funded partners who can responsibly represent our products, support the broader market, and build a sustainable local operation.
What is a Master Software Licence?
A Master Software Licence may provide an approved partner with the right to commercially introduce, promote, sell, onboard and support Auctions Live and Offers Live within an agreed country or territory.
Market Development
Build awareness of Auctions Live and Offers Live and establish relationships with real estate agencies, auction houses, corporate groups and other approved market participants.
Sales and Onboarding
Demonstrate the platforms, manage local sales opportunities, assist customers through implementation and ensure they receive appropriate product training.
Local Customer Support
Provide responsive first-line assistance to approved customers and work closely with RE Software when technical or product matters require escalation.
Our approach to an open and inclusive market
A successful Master Licence partner must be prepared to support the broader eligible market fairly and professionally.
We will not appoint a partner whose intention is to use the licence solely for its own agency, auction house, group or associated businesses while preventing competitors from accessing the products.
Subject to RE Software’s customer eligibility, contractual and compliance requirements, the appointed partner must be willing and capable of supporting:
- Independent real estate agencies
- Franchise and corporate real estate groups
- Independent auction houses
- Competing auction houses operating within the territory
- Commercial, residential and specialist property businesses
- Other approved organisations seeking to use the platforms
The purpose of a Master Software Licence is to responsibly develop the entire approved territory, not to create an unfair commercial barrier for other businesses.
Minimum suitability requirements
Before an applicant can be considered, RE Software must be satisfied with the individuals involved, the proposed licensed entity and its ability to responsibly develop and support the market.
Personal and professional standing
- Directors and key personnel must be of good character and professional standing.
- Applicants must disclose any material criminal history, regulatory action or current legal proceedings.
- Applicants and key personnel must not appear on applicable sanctions lists.
- Any politically exposed person status must be fully disclosed.
- Applicants must be willing to participate in identity, background and due diligence checks.
- Professional and commercial references may be required.
Company and financial capacity
- The proposed entity must be legally registered and in good standing.
- The ownership and shareholding structure must be transparent.
- The company must have sufficient capital to fund a market launch.
- Funding must be available for staffing, marketing, training, legal and operational costs.
- The applicant must be capable of meeting any agreed minimum commercial commitments.
- Financial statements or evidence of available funding may be requested.
Operational capability
- A dedicated person must be responsible for managing the territory.
- The applicant must have, or be prepared to recruit, sales and support resources.
- Local customers must receive timely onboarding, training and first-line support.
- The applicant must be capable of supporting customers during local business and auction hours.
- The applicant must maintain appropriate insurance, policies and operating procedures.
Market development capability
- A credible go-to-market strategy must be provided.
- The applicant must demonstrate knowledge of the local real estate and auction market.
- The applicant should have relevant industry relationships or a clear strategy for developing them.
- The applicant must be willing to actively promote both Auctions Live and Offers Live.
- The proposed model must support long-term adoption rather than limited internal use.
A politically exposed person designation does not automatically result in rejection. However, it must be disclosed and may require enhanced due diligence and ongoing monitoring.
What we need to understand about you
Your submission should provide sufficient information for RE Software to conduct a preliminary assessment of the people involved, the organisation, the requested territory and the commercial opportunity.
- Applicant and key personnel Provide the full names, positions, professional history, qualifications and relevant experience of all directors, shareholders and key people who would be involved.
- Company information Provide the registered company name, trading name, registration number, address, website, ownership structure, number of employees and principal business activities.
- Company history Explain how long the organisation has operated, its key achievements, major business relationships and its reputation within the proposed market.
- Requested territory Clearly identify the country or territory being requested and explain why your organisation is well positioned to develop that market.
- Existing industry relationships Outline relationships with real estate agencies, auction houses, franchise groups, property developers, banks, insolvency professionals, government entities and industry associations.
- Local population and market coverage Provide the population of the proposed territory, its major cities and regions, and the areas your organisation intends to service.
- Real estate transaction market Provide the estimated number and value of residential, commercial, rural and other property transactions completed during each of the previous three years.
- Auction market size Provide the estimated number of properties marketed and sold by auction during each of the previous three years, including available transaction values, clearance rates and market trends.
- Private treaty and offers market Provide the estimated number of private treaty, expression of interest, tender, deadline sale and similar transactions completed during each of the previous three years.
- Common auction property types Explain whether auctions are commonly used for general residential, luxury, distressed, mortgagee, insolvency, commercial, industrial, agricultural, government or other property categories.
- Local acceptance of auctions Explain whether auctions are a recognised and trusted method of sale, where they are most commonly used, and whether the market is growing, declining or stable.
- Legislation and licensing Identify the laws governing property sales, auctions, auctioneers, real estate businesses, online bidding, bidder registration, record retention and consumer protection.
- Privacy and data protection Identify whether the territory is governed by the GDPR or an equivalent privacy framework, the responsible regulator, and any restrictions on cross-border data processing or hosting.
- Competitive and technology landscape Identify existing auction, online bidding, livestreaming, bidder registration and offer-management platforms operating in the market.
- Go-to-market strategy Explain how you would launch the products, generate leads, reach customers, conduct demonstrations and develop industry awareness.
- Three-year commercial plan Provide realistic customer, revenue and platform-usage projections for the first 12, 24 and 36 months.
- Staffing and local support Explain who would manage sales, onboarding, training, account management, marketing and first-line customer support.
- Financial capacity Provide a high-level launch budget, annual operating budget, marketing budget and evidence that the organisation can fund the opportunity.
- Commercial expectations Outline your preferred licence term, expectations regarding territory protection or exclusivity, proposed commercial structure and any minimum commitments you would consider.
- Disclosures and references Disclose any relevant criminal, legal, regulatory, insolvency, sanctions, politically exposed person, conflict-of-interest or competing-business matters. Please also provide at least two professional references.
Financial and operational commitment
A Master Licence requires investment
Applicants should not assume that RE Software will fund the local launch or provide all local sales and customer-support resources.
The successful partner would generally be expected to fund its local:
- Sales and business-development personnel
- Customer onboarding and account management
- First-line customer support
- Marketing and industry events
- Legal, tax, accounting and compliance advice
- Travel, demonstrations and local training activities
- Insurance and general business operating expenses
Commercial commitments may apply
Depending on the territory and proposed structure, RE Software may require:
- An initial activation or market-establishment fee
- Wholesale or usage-based software fees
- An annual minimum revenue commitment
- Minimum staffing and customer-support requirements
- Performance targets for maintaining territory protection
- Regular pipeline, customer and usage reporting

Your submission will be treated as confidential.
Information will only be used by RE Software and its professional advisers for the purpose of assessing the proposed Master Software Licence opportunity, conducting due diligence and considering a potential commercial relationship.
Applicants should be aware that RE Software may undertake appropriate due diligence before progressing an application. This may include:

Preliminary Review
RE Software will review the submission to assess the applicant, proposed entity, territory, market potential and overall suitability.
Discussion and Due Diligence
Suitable applicants may be invited to attend meetings and provide further legal, financial, operational or market information.
Potential Commercial Proposal
Where both parties wish to proceed, RE Software may prepare a non-binding proposal or Heads of Agreement for further consideration.
